These Terms of Service ("Terms") govern your use of the Zeeria protocol ("Zeeria", "we", "us") operated by Intermo PSP FZCO, a free-zone company registered with the Dubai Multi Commodities Centre (DMCC) under licence number DMCC203932, including the website zeeria.com and smart contracts deployed on the Base network (chain IDs 8453 and 84532).
1. Eligibility
You may NOT use Zeeria if you are a resident of, physically located in, or a citizen of: the United States of America (including its territories), the United Kingdom, Canada, Mainland China, Japan, South Korea, Singapore, the United Arab Emirates (including all Emirates and free zones — the operator's home jurisdiction), or any jurisdiction subject to comprehensive U.S. OFAC sanctions (currently Cuba, Iran, North Korea, Syria, Crimea, Donetsk, Luhansk, and such other regions as may be added).
By connecting a wallet or signing in via Privy, you represent and warrant that you are not located in a prohibited jurisdiction. Zeeria reserves the right to deny service based on IP geolocation, wallet-screening tools, or any other reasonable signal.
2. Non-custodial nature
Zeeria is a protocol, not a custodian. Your crypto assets are held by smart contracts you interact with directly. Zeeria does not hold, control, or have access to user funds at any time. Transactions are irreversible once confirmed on-chain.
3. Risks
You acknowledge that DeFi lending involves substantial risk of loss, including but not limited to: smart-contract bugs or exploits; oracle failures; market volatility causing liquidation; governance attacks; regulatory actions. Details in the Risk Disclosure. You agree to bear these risks entirely.
4. No advice
Nothing on Zeeria constitutes financial, legal, or tax advice. Consult a qualified professional before using the protocol.
5. Fees
Zeeria charges a 0.25% origination fee at borrow time, rolled into your debt. Liquidators receive a 5% bonus on seized collateral. A 10% reserve factor is collected from borrow interest. Fee structure may change via Timelock-gated governance with 48h notice on chain.
6. Intellectual property
The Zeeria brand, wordmark, and website design are owned by Intermo PSP FZCO. Smart-contract source code is licensed under BUSL-1.1 (Business Source License) until 2030-01-01, at which point it converts to GPL-3.0.
7. Limitation of liability
To the maximum extent permitted by law, Intermo PSP FZCO, its affiliates, directors, and contributors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the protocol, including loss of funds, profits, or data. The protocol is provided "as is" without warranty.
8. Governing law & arbitration
These Terms are governed by the laws of the United Arab Emirates as applied within the Dubai Multi Commodities Centre (DMCC) free zone. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under the DIAC Arbitration Rules. The seat of arbitration shall be Dubai, UAE, and the language of arbitration shall be English.
9. Changes
We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be announced on-chain and via our website at least 7 days in advance.
